1. Who this applies to
These terms apply to any booking made with Josh L UGC ("the creator", "I", "me"), based in Staffordshire, UK. By sending a deposit or confirming a booking, the client agrees to these terms.
2. Bookings and payment
A 50% deposit is required to confirm a booking, with the balance due on delivery of the final files. Prices are in GBP. Invoices are payable by bank transfer within 7 days unless agreed otherwise.
Work does not start until the deposit has cleared. Late payment of the balance may delay release of final files.
3. Products and shipping
The client ships the product to the creator at their own cost. The creator is not responsible for lost or delayed shipments once handed to a courier.
Unless agreed otherwise, the product is kept by the creator as part of payment in kind. Any opinions expressed in the content are genuine, the creator does not guarantee a positive review.
4. Delivery and revisions
Typical turnaround is 3 to 5 business days from receiving the product and a clear brief. One round of revisions is included per project, further changes are billed separately at an hourly rate on request.
5. Usage rights and licensing
The price for each package covers filming, editing, and an Organic Usage Licence: the client may post the delivered content, unpaid, on their own owned social channels and website for as long as they like.
Using the content as a paid advertisement in any form, including whitelisting, Spark Ads, boosted posts, or paid social or display media, requires a separate Paid Usage Licence, purchased at the rate stated for that package. The Paid Usage Licence runs for 6 months from the delivery date (the "Licence Period").
At the end of the Licence Period, all paid use of the content must stop. The Licence Period can be renewed for a further 6 months at the then-current rate, agreed in writing before or shortly after expiry.
No exclusivity, resale, sublicensing, or use of the content to train AI or machine learning models is granted under any package unless agreed separately and in writing. Copyright in the content stays with the creator at all times, the client receives a licence to use it, not ownership of it.
6. Breach of usage rights
It is a breach of these terms if the client runs the content as a paid advertisement without ever purchasing a Paid Usage Licence, continues paid use after the Licence Period has expired without renewing, or uses the content outside the agreed scope, for example with a different product, a different brand entity, or after passing it to a third party.
On finding a breach, the creator will give written notice requesting the content be pulled from all paid placements within 5 business days.
Where the breach involves paid use that has already happened, the client agrees to pay a breach fee equal to the applicable Paid Usage Licence rate for each full or part Licence Period the content was used in breach, plus a fixed £150 administration charge. This reflects a genuine estimate of the licensing revenue lost, it is not intended as a penalty.
This is in addition to, and does not limit, any other remedy available to the creator, including requiring immediate removal of the content.
7. Cancellation and rescheduling
Cancelling within 48 hours of an agreed filming date forfeits the deposit. A booking can be rescheduled once free of charge with reasonable notice.
8. Liability
The creator is not liable for indirect or consequential loss. Total liability for any claim relating to a project is capped at the fees paid for that project. Nothing in these terms limits liability where it cannot be limited by law.
The client is responsible for complying with advertising standards that apply to them, including clearly disclosing paid partnerships in line with the CAP Code and ASA guidance when content is used as an ad.
9. Governing law
These terms are governed by the law of England and Wales.
10. Changes to these terms
These terms may be updated from time to time. The version in place at the time of booking is the one that applies to that project.
